On September 24, ARK Invest and Securitize announced tokenized access to the ARK Venture Fund for eligible investors. The actively managed portfolio includes stakes in OpenAI, Anthropic, Stripe and Databricks. Securitize will support issuance and investor access on Ethereum. The move changes how investors hold a fund interest, while ARK continues to make the portfolio decisions.
ARK Venture Fund Offers Indirect Stakes in Private Tech
In a recent press release, an investment in the ARK Venture Fund represents a share of the whole portfolio. It does not give a holder shares in OpenAI or any other named company.
Those holdings can change as managers buy and sell assets. The fund mixes private and public companies, so performance reflects more than its best-known positions.
The partnership builds on ARK’s strategic investment in Securitize in October 2025. Securitize supplies the onchain issuance system, while ARK manages the investment strategy. Access through Securitize remains subject to investor eligibility and other restrictions.
SEC Order Opens a Trading Path, Yet Liquidity Stays Limited
The SEC’s September 21 order permits a tokenized share class that may trade on registered alternative trading systems. The application specifies registered broker-dealers as operators of those venues.
It also permits a separate class to seek an exchange listing. The order allows those structures; it does not establish that either class currently trades in a secondary market.
The ARK Venture Fund remains an interval fund with limited exits. ARK says it offers quarterly repurchases for up to 5% of outstanding shares at net asset value.
Requests can exceed that amount, leaving investors unable to sell all they seek to tender. Its current disclosures say the shares are unlisted and no secondary market is expected.
For investors, tokenization changes the ownership record and access route, not the fund’s exit terms. A buyer of the ARK Venture Fund pays for exposure to ARK’s shifting portfolio.
The SEC application says direct purchases occur at the relevant share class’s net asset value, plus applicable charges. It lists possible class expenses, including transfer agent fees and blockchain transaction charges.
