Coinbase stock perpetuals have entered the U.S. regulatory process after two affiliated businesses filed SEC notices dated September 1. Coinbase Derivatives submitted Form 1-N, while Coinbase Financial Markets filed Form BD-N. The exchange wants to offer single-stock contracts to American customers. It has not announced a launch date or product terms.
Coinbase stock perpetuals begin dual SEC filing process
Form 1-N allows a CFTC-designated contract market to notice-register with the SEC solely for security futures. Coinbase Derivatives has held designated contract market status since 2020. The filing does not convert the venue into a national stock exchange.
Form BD-N covers the brokerage role. Coinbase Financial Markets is a CFTC-registered futures commission merchant. Under the proposed structure, it would give customers access to contracts listed by its affiliated exchange.
Coinbase stock perpetuals therefore require a dual-agency route. The SEC and CFTC jointly oversee futures on individual stocks and narrow-based security indexes. Faryar Shirzad said CFTC clearance forms the next regulatory step.
Overseas contracts offer clues but no US terms are set
Perpetual futures have no expiry date, letting traders keep long or short positions open through recurring funding payments. Traders never receive the underlying shares or associated voting rights.
Coinbase launched international single-stock perpetuals in March for eligible non-U.S. clients. Its lineup includes Apple, Microsoft, Alphabet, Amazon, Nvidia, Meta and Tesla. SPY and QQQ contracts also provide synthetic exposure to large U.S. equity indexes.
The overseas products trade continuously, use USDC settlement and offer leverage. Stock contracts provide up to 10 times leverage, while ETF contracts provide up to 20 times. Funding payments help keep contract prices close to reference assets.
Coinbase stock perpetuals would provide price exposure without ownership, voting rights or dividends. U.S. terms may differ from the overseas service. The filings do not specify funding methods, leverage, clearing arrangements or supported shares.
Coinbase stock perpetuals also lack a confirmed schedule for 24-hour trading. Continuous contracts could operate while reference exchanges close. Coinbase has not disclosed controls for periods without fresh stock prices.
